Resolved that: 1. Amaanat Minorities NPO (AM) take whatever steps necessary to retrieve investor funds from Amaanat Investment Holdings Ltd (AIH). As per legal advice received from the legal team, AM must involve regulatory authorities to investigate contraventions and non-compliances. All contravention and enforcement orders must be provided to the legal team. 2. Mahomed Peer, the chairperson of AM or Mahmood Kader, the deputy chairperson of AM or Asad Gaffer, the secretary general of AM are hereby authorised to represent the association and all its members in any inquiry, hearing or legal proceedings involving matters regarding AIH, such authority to include (though not being limited to) signing all relevant documents and affidavits, instructing legal representatives and taking any decisions necessary in relations to retrieving investor funds. 3. All and any steps as may have been taken by Mahomed Peer or Mahmood Kader or Asad Gaffer regarding any of the aforegoing are confirmed and ratified by AM without limitation. 4. AM will lodge complaints to the relevant regulators on behalf of all its members forthwith. AM will report AIH to the regulators for the suspected contraventions and non-compliances. Relevant regulators include but not limited to FSCA, SARB, CIPC and the South African Revenue Services (SARS). 5. AM will keep Norton Rose Fullbright SA (NRF SA) on an ad-hoc basis, whilst investigations are ongoing. This matter is quite complexed and may require the expertise of the legal team at sudden notice. 6. AM has taken the firm decision not to engage AIH or its representatives any further. AM is disappointed at AIH. Any proposals or settlement discussions must be directed to our legal team. 7. AM will circulate this resolution to all AM members, AM members will have (7) days to object to this resolution in writing. AM will consider only legitimate objections and then ratify the final decisions. In the event no objections are received the original decisions will be ratified and implemented immediately. AM reserves the right to amend this resolution if deemed necessary. 8. AM will for the year 2025/2026 request each AM member to pay a minimum R100.00 a month contribution towards raising a significant legal war chest to challenge AIH. AM members who are indigent and distressed can apply for exemption which will be dealt with on a case-by-case basis. AM will not exclude any member based on paying, however there is a need to have a legal fund. This outcome clearly signals AM’s unwavering commitment to ensuring transparency, accountability, and the protection of investor interests in its dealings with AIH. After years of attempting to engage with AIH in good faith, AM has been left with no choice but to take decisive action. AIH’s persistent failure to provide crucial financial information and its continued evasiveness in engaging meaningfully with AM have forced this move. AM and its legal team will now submit formal complaints to the relevant regulatory authorities, demanding investigations and, if necessary, enforcement of compliance. AM will no longer tolerate delays or avoidance on this matter. To support this effort, AM is building a legal war chest and requires each member to contribute a minimum of R100.00 per month as part of a crowdfunding mechanism, with additional donations encouraged. AM is encouraged by the increasing number of investors joining the cause, seeking both clarity and accountability from AIH. The collective will of AM’s members is strong, and AIH must understand that evasion is no longer an option. AM recognises that, given the substantial resources available to AIH, it would be practically impossible for individual investors to hold the company accountable. However, as a collective, AM will ensure AIH is held to account. AM has raised serious concerns about AIH’s refusal to disclose its current cash reserves despite repeated and legitimate requests. This lack of transparency is unacceptable and raises fundamental questions about AIH’s financial management. AM firmly believes that these undisclosed reserves could and should be used to meet the demands of investors seeking to exit. AIH should instead seek long-term borrowing for its expansion plans, rather than continue to hold investors’ funds unnecessarily. AM has formally invoked the Promotion of Access to Information Act (PAIA) to secure this critical financial information. Should AIH continue to withhold this information, AM will take all necessary legal steps to enforce transparency. AM has also noted with concern the circulation of nameless and faceless messages, purportedly representing concerned investors, on social media platforms. Intelligence gathered suggests that these messages are being disseminated by individuals tasked with running interference and disrupting AM’s efforts. Let it be clear: AM’s focus remains unwavering on its objectives, and it will not be sidetracked by baseless messages or distractions. AM will not back down. The time for evasion has passed. AIH must be held fully accountable, and investors must receive the transparency and justice they are owed. The time for inaction is over. The fight for Justice has begun.
